Loupe Marketplace Shop Addendum
Effective Date: March 24, 2025
This Data Processing Addendum for Terms of Service (this “SHOP TOS”) is incorporated
into and forms part of the Loupe Terms of Service, or other written or electronic agreement
between You (“Shop(s)”, “You”) and Loupe Tech, Inc (“Loupe”, “We”, “US”). which governs
Your use of the Loupe Services, specifically relating to the marketplace feature
(“Marketplace”) (as applicable, the “Terms”). To the extent there is any direct conflict
between the terms of this SHOP TOS, and the Terms, this SHOP TOS will govern. If the
SHOP TOS is silent on an issue the TERMS will govern.
Limited Access to Marketplace:
You will be provided the opportunity to list and sell your merchandise (“Shop Goods”) on
the Marketplace. Loupe has privately vetted you to permit you access, as such, You
understand that Loupe may suspend, amend or remove this privilege for any reason. You
understand that Loupe may suspend or modify the Marketplace terms at any time.
Shop Goods:
All Shop Goods must conform to the terms and conditions of this Agreement and any other
rules or restrictions provided by Loupe or Loupe staff. Loupe may at its sole discretion
provide a list of allowable or disallowable Shop Goods.
You may list as much or as little Shop Goods on the Marketplace as you wish. You may
choose the price for Shop Goods at Your own discretion. You may withdraw any unsold
Shop Goods prior to the point of sale without penalty. Once a ready, willing, and able buyer
has purchased the product on the Marketplace (“Buyer”), the Shop Goods cannot be
withdrawn, and You hereby authorize Loupe to sell your Shop Goods to the Buyer.
You warrant and represent to Loupe that Your title to all Shop Goods is good, marketable
and insurable, that it is not encumbered by any third party, and that You can convey title in
the Seller Good to any duly authorized Buyer. You also warrant that You have the full power
and authority to enter into this Agreement. Additionally, You attest that the Shop Goods
was not obtained illegally, is not misrepresented as to its authenticity or condition, and is
not otherwise fraudulent in nature. As such You represent to Loupe that the Shop Goods
are not a reproduction and has not been modified or repaired in any way.
Shipping and Packaging:
You are expected to keep up with shipping standards set by Loupe. This includes but is not
limited to letting Buyers know when You ship products, attaching the tracking info within
the App, penny sleeving and top loading hits or Buyer requested cards within reason, and
packaging everything in a way that harm is unlikely to occur to the Shop Goods during
transportation through the mail.
Shop Payouts:
Loupe will retain 10% of the purchase price and shipping cost for any Shop Goods sold on
Marketplace as a fee for its services and remit the remaining portion of the sale price to
Affiliate through Stripe payouts. Loupe has the right to offset Affiliate payouts based upon
refunds for unripped product, valid chargebacks, and valid customer complaints about
shipping.
No Gambling:
You agree that all Shop Good will be sold at a fixed price with no randomness or gambling
involved. For the avoidance of doubt, this includes, but is not limited to a prohibition on
razzes, repacks, raffles, or any other method prohibited by Loupe.
Cross Posting Shop Goods to Other Points of Sale:
Loupe does not intend to limit your ability to sell Shop Goods; however, Loupe does have a
vested interest in protecting its Buyers. It is Your responsibility to quickly remove any Shop
Goods that have been sold on an external point of sale outside of Loupe so that a Buyer
does not attempt to buy something that has been sold elsewhere. Should this become an
issue, Loupe may need to impose additional restrictions.
Discounts or Coupons: Loupe may at its own discretion offer its users discounts or
coupons in any legal form to use on the Marketplace. Should a Buyer use a valid discount
or coupon, Loupe on Shop Goods, Loupe will be responsible for the difference between the
purchase price and the discounted price.
Delist: Loupe may delist any Shop Goods or Shops that it believes to be fraudulent or
questionable in authenticity. Loupe reserves the right to share information about the Shop
with Law Enforcement.
License to Loupe: You hereby grant Loupe a perpetual, worldwide, royalty-free, fully paid
up, non-exclusive, non-sublicensable license to perform, display, distribute, reproduce,
create derivative works from, and otherwise exploit the Shop Branding and Seller Goods for
the purpose of promoting Loupe and Shop. This license for the Content extends to any
marketing campaigns Loupe desires to conduct whether internally or with a marketing
partner. For the abundance of clarity, this license will continue after the Agreement is
terminated.
Indemnity: You hereby indemnify the Loupe for any claims brought by third-parties based
on the You failure to disclose the existence of any security agreements or secured claims
against the Shop Goods, any falsified or fraudulent Shop Goods, or any unpermitted
activities engaged in by Shop, such indemnity to include reimbursement for any attorneys’
fees and cost incurred by the Loupe in defense of any such claim. This Indemnification is in
addition to the prior provisions under the TERMS.
Miscellaneous:
All other terms and conditions within the TERMS are hereby directly incorporated into this
Agreement. This Marketplace Shop Addendum is intended to provide additional clarity and
not to directly replace anything within the TERMS.
